M.A.X. Automation AG concludes focus on core areas

- Operating activities of the altmayerBTD Group business sold via two management buy outs as at the end of 2015

Düsseldorf, 23 December 2015 M.A.X. Automation AG, the specialist for high-tech mechanical engineering, has concluded agreements for the sale of the operating activities of Group business altmayerBTD GmbH & Co. KG, Dettenhausen. Both the BTD operating unit (container engineering) and the altmayer operating unit (equipment manufacturer for bulk materials) are to be sold in the context of an asset deal on the basis of two management buy outs (MBOs) with economic effect as at 31 December 2015. With the two transactions, M.A.X. Automation is concluding its focus on its core areas of industry automation and environmental technology that it commenced some two years ago.

The buyer for Dettenhausen-based BTD (located near Stuttgart) is BTD Behälter- und Speichertechnik Dettenhausen GmbH, which is assigned entirely to Udo Weinert, previously the Managing Director of altmayerBTD. The purchase price is in the middle single-digit million range. The operating property in Dettenhausen has been leased to the buyer who has an option on the real estate required for operations.

The activities of altmayer (headquartered in Rehlingen, Saarland) are being sold to a buyer company whose partners are Managing Director of altmayer Andreas Weber, certain employees and a private investor. The purchase price is a low single-digit million figure. After completion of all contractual conditions, it is expected that the contract will be closed by the end of January 2016.

The disposal of the two operating units will result in a disposal loss in the 2015 Group financial statements.
This is offset by hidden reserves from the property in Dettenhausen remaining at M.A.X. Automation. Irrespective of the disposal loss, the Executive Board confirms the guidance for the 2015 financial year. It continues to expect Group EBIT between EUR 20 million and EUR 22 million.
